Epicor Advises Shareholders To Take No Action Pending Review By Epicor's Board of Directors
IRVINE, Calif.--(BUSINESS WIRE)--
Epicor Software Corporation (NASDAQ:EPIC), a leading provider of
enterprise business software solutions for the midmarket and divisions
of Global 1000 companies, today confirmed receipt of an unsolicited
proposal from Elliott Associates, L.P. to acquire all of the
outstanding shares of Epicor for $9.50 per share.
The Board of Directors of Epicor, in consultation with the
Company's legal and financial advisors, will carefully consider and
review Elliott Associates' proposal and will respond in due course.
Epicor recommends that all shareholders defer making any determination
with respect to the proposal until they have been advised of the
Board's position.

UBS Investment Bank is acting as financial advisor to Epicor.
